Terms of Service

1. Scope and Acceptance

These Terms of Service ("Terms") govern the contractual relationship between NEXITERA (SAS, SIREN 937 848 505, registered office: 15 rue du 8 mai 1945, 95110 Sannois, France; hereinafter "NEXITERA" or "Provider") and any legal entity or individual acting in a professional capacity who subscribes to a TenderCopilot plan (hereinafter "Client").

TenderCopilot is exclusively intended for business professionals. Consumer protection legislation does not apply to contracts entered into under these Terms.

Subscribing to any paid plan constitutes full and unconditional acceptance of these Terms. In the event of any conflict between these Terms and separately negotiated conditions (including Enterprise agreements), the separately negotiated conditions shall prevail.

2. Service Description

TenderCopilot is a Software as a Service (SaaS) platform designed to assist professionals in responding to public procurement tenders. Core features include:

• AI-powered analysis of Request for Proposal (RFP) packages, FIDIC contract packs, BOQ schedules and related procurement documents
• Automated fit scoring and GO / MAYBE / NO-GO recommendation
• Win probability estimation based on the Client's organisation profile and tender requirements
• Extraction of key compliance requirements: Bid Bond, Performance Guarantee, ICV certificate requirements, technical qualification criteria
• Generation of a structured draft bid response (Executive Summary, Technical Approach, BOQ Commentary, ICV Plan, Compliance Statement)
• Automated tender monitoring with email alerts for new tenders matching the Client's profile (Team plan and above)
• Collaborative workspace for managing bid responses

3. Account Creation and Access

Access to TenderCopilot requires creating an account at app.tendercopilot.fr. The Client is responsible for maintaining the confidentiality of their login credentials and for all activity conducted through their account. Any unauthorised use must be reported immediately to contact@tendercopilot.fr.

NEXITERA reserves the right to suspend or terminate an account in the event of a breach of these Terms, without prior notice or compensation.

4. Pricing and Billing

4.1 Current Plans

All prices are in euros (EUR). UAE-based clients are invoiced in EUR; indicative AED amounts shown on the pricing page are for reference only and are subject to exchange rate fluctuation. NEXITERA does not currently accept AED payments; EUR payment by international credit card is supported via Stripe.

Pursuant to Article 293 B of the French General Tax Code, NEXITERA currently operates under the VAT franchise regime — VAT is not charged on invoices issued. This will be updated upon VAT registration.

4.2 Payment Method

Payment is made by credit or debit card via Stripe's secure platform. Subscriptions are billed monthly or annually depending on the option selected at checkout, on the anniversary date of the subscription.

In the event of a failed payment, NEXITERA will notify the Client by email. If the payment is not regularised within 7 days, the account may be suspended until payment is made. Client data is preserved during this suspension period.

4.3 Price Changes

NEXITERA reserves the right to modify its pricing with 30 days' written notice by email. Continued use of the service after this period constitutes acceptance of the new pricing. The Client may cancel without penalty before the new pricing takes effect.

5. Term, Renewal and Termination

5.1 Term

Monthly subscriptions are entered into for a one-month period, automatically renewable. Annual subscriptions are for one year, automatically renewable.

5.2 Cancellation by Client

The Client may cancel their subscription at any time from their account settings or by contacting contact@tendercopilot.fr. Cancellation takes effect at the end of the current billing period. No refund is issued for the unused portion of a monthly subscription.

For annual subscriptions taken out within the previous 14 calendar days and for which no analyses have been generated, the Client may request a full refund. Beyond this period, no refunds will be issued except where required by mandatory law.

5.3 Termination by NEXITERA

NEXITERA may terminate a subscription with 30 days' notice, without cause, with a prorated refund of any unused prepaid period. In the event of a material breach of these Terms (fraudulent use, system interference, persistent non-payment), termination is immediate without refund.

5.4 Consequences of Termination

Upon termination, the Client's access to the platform ceases. Their data (analyses, generated responses, organisation profile) is retained for 30 days then permanently deleted. Clients may request a data export prior to this deadline by emailing contact@tendercopilot.fr.

6. Obligations and Liability

6.1 NEXITERA's Obligations

• Provide the service with reasonable availability (target: 99% uptime, excluding planned maintenance)
• Notify the Client of scheduled maintenance that may affect service availability
• Process Client data in accordance with the Privacy Policy
• Maintain the confidentiality of uploaded documents

6.2 Client Obligations

• Not to attempt to circumvent, decompile or reproduce any part of the platform
• Not to use the service for any unlawful purpose or in a manner contrary to applicable procurement regulations
• Not to share login credentials with individuals outside the Client's organisation
• To ensure that documents uploaded comply with applicable distribution rights and confidentiality obligations
• To review and verify all AI-generated outputs before using them in any bid submission

6.3 AI Disclaimer and Limitation of Liability

TenderCopilot is a decision-support tool. Analyses, scores, win probability estimates and draft bid responses generated by the AI are informational suggestions only. They do not constitute legal, financial, technical or procurement advice and do not guarantee the outcome of any bid submission.

In particular:

• AI-generated compliance assessments (ICV, Bid Bond, FIDIC, prequalification criteria) must be independently verified by the Client before relying on them in a formal submission
• Win probability scores are statistical estimates based on available data and do not represent a guarantee of contract award
• Draft bid responses are starting points requiring professional review and customisation by the Client

NEXITERA's liability shall be limited to direct, proven damages resulting from its own fault. NEXITERA shall not be liable for any indirect damages (loss of profit, loss of contracts, loss of data, reputational damage) or for any consequences arising from reliance on AI-generated outputs. In any event, NEXITERA's total liability in a given twelve-month period is capped at the fees actually paid by the Client during the 12 months preceding the triggering event.

7. Intellectual Property

7.1 Platform

The TenderCopilot platform, its algorithms, interfaces and content are the exclusive property of NEXITERA. The subscription grants the Client a non-exclusive, non-transferable licence to use the platform for the duration of the contract, strictly for the Client's own professional purposes.

7.2 Client Data

The Client retains full ownership of all documents uploaded and outputs generated through the platform. NEXITERA claims no rights over Client data. Client data is never used to train or improve third-party AI models.

8. Confidentiality

Each party undertakes to keep confidential the information and documents of the other party accessed in connection with the contract, for the duration of the contract and for 3 years after its termination. This obligation does not apply to information that is or becomes publicly available without fault of the receiving party.

9. Force Majeure

Neither party shall be liable for a failure to perform its obligations resulting from an event of force majeure within the meaning of French law (natural disaster, pandemic, large-scale cyberattack, major cloud provider outage). The affected party shall notify the other as soon as possible. If the force majeure event persists for more than 60 days, either party may terminate the contract by right without penalty, with a prorated refund of any prepaid annual subscription.

10. Governing Law and Jurisdiction

These Terms are governed by French law. The parties shall first attempt to resolve any dispute amicably within 30 days of written notification of the dispute. Failing amicable resolution, disputes shall be submitted to the exclusive jurisdiction of the Commercial Courts of Pontoise, France, notwithstanding multiple defendants or third-party proceedings.

UAE-based clients acknowledge that by entering into these Terms they are contracting with a French entity and accept that French law governs their contractual relationship with NEXITERA.

11. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. NEXITERA's failure to enforce any right under these Terms shall not constitute a waiver of that right. These Terms constitute the entire agreement between the parties with respect to their subject matter and supersede all prior agreements.
